GENERAL TERMS AND CONDITIONS OF SALE (GTCS) – CORDERIE GAUTIER

ARTICLE 1 – GENERAL PROVISIONS AND SELLER IDENTIFICATION
These General Terms and Conditions of Sale (GTCS) exclusively govern the contractual relationship between:
SAS GAUTIER (hereinafter referred to as "Corderie Gautier" or the "Seller"), a simplified joint-stock company (SAS) with a share capital of €20,000, registered with the Colmar Trade and Companies Register under number 878 116 698, whose registered office is located at BERGHEIM (68750), 13 rue des Artisans, ZA du Muehlbach.

And any natural or legal person (hereinafter referred to as the "Buyer" or the "Customer") placing an order or making a purchase through the Corderie Gautier website.
The purchase of any product or service through the website implies the Buyer's unconditional acceptance of these General Terms and Conditions of Sale. These Terms shall prevail over any other general or specific terms not expressly accepted by Corderie Gautier. Corderie Gautier reserves the right to amend its Terms of Sale at any time. The applicable Terms shall be those in force on the date the Buyer places the order.
ARTICLE 2 – ACCOUNT CREATION (PRIVATE AND BUSINESS CUSTOMERS)
To place an order, the Buyer may create a customer account on the website:
- Standard Account (Private Customer / B2C): The account is created immediately after the registration form has been validated.
- Professional Account (B2B): Professional registration requires completion of a dedicated registration form. Approval of the professional account is subject to manual verification and validation by Corderie Gautier in order to verify the company's details and prevent duplicate account creation.
Logged-in professional customers benefit from dynamic pricing as well as access to the history of their invoices and quotations generated by the Seller's ERP system (EBP).
ARTICLE 3 – PRODUCTS, AVAILABILITY AND PRODUCT INFORMATION
The products and services offered are those listed in the catalogue published on the Corderie Gautier website, subject to stock availability.
3.1 Product Availability Status
Each product page specifies the product status:
- In Stock: Product available for immediate online purchase. In-stock products may also be the subject of a quotation request using the dedicated "Request a Quote" button.
- Quotation Only: Product requiring a personalised assessment and a prior commercial quotation.
- Out of Stock: Product temporarily unavailable for ordering.
3.2 Technical Tolerances
The photographs shown in the catalogue are as accurate as possible but cannot guarantee a perfect resemblance to the delivered product, particularly regarding colour rendering.
Due to the technical and textile nature of the products sold, delivered products are subject to the following manufacturing tolerances:
- Lengths: Permitted tolerance of ±5%
- Diameters: Permitted tolerance of ±10%
ARTICLE 4 – CUSTOM-MADE PRODUCTS (CYUP CONFIGURATOR)
Corderie Gautier provides a technical product configurator (CYUP technology) on its website allowing Buyers to customise and configure certain products to their exact requirements (including mezzanine nets, ropes and custom-made webbing).
The Buyer independently defines the product characteristics (dimensions, mesh size, colours, options and accessories) before adding the product to the shopping cart.
Buyer's Responsibility and No Right of Return
- Accuracy of Measurements: The Buyer is solely responsible for the accuracy of all measurements, dimensions, configurations and options entered when placing the order. Corderie Gautier cannot be held liable for any errors made by the Buyer.
- No Right of Withdrawal or Exchange: In accordance with Article L.221-28 (3) of the French Consumer Code, products manufactured according to the consumer's specifications or clearly personalised (including ropes, webbing, nets cut to size and custom-made products) are excluded from the statutory right of withdrawal and may not be returned or exchanged.
When confirming an order containing a custom-made product, the Buyer must acknowledge the following statement by ticking the corresponding checkbox:
"I certify that I have read and accepted the General Terms and Conditions of Sale and acknowledge that this custom-configured product is not eligible for withdrawal, return or exchange."
ARTICLE 5 – PRICING, CURRENCIES AND PROMOTIONAL OFFERS
The prices displayed on product pages are provided for information purposes only and exclude delivery charges. Prices are displayed dynamically in the Customer's local currency, both excluding VAT and including VAT.
The exact VAT amount as well as processing and delivery charges are automatically calculated during checkout according to the Buyer's delivery address and country.
Corderie Gautier reserves the right to modify its prices at any time. However, the price displayed on the date the order is placed shall be the only price applicable to the Buyer.
Promotions and Discounts
Promotional offers, discount codes and commercial discounts cannot be combined. They are not redeemable for cash and cannot give rise to any financial compensation in any form whatsoever.
ARTICLE 6 – ORDERS AND ORDER MODIFICATION PROCEDURES
To place an order, the Buyer must validate their shopping cart, provide the delivery and billing addresses, select a payment method, and confirm their commitment to purchase.
Confirmation of the order constitutes acceptance of these General Terms and Conditions of Sale, acknowledgement that the Buyer has read and fully understood them, and waiver of the Buyer's own purchasing conditions.
Order Modification or Cancellation
Once an order has been confirmed and paid for, the Buyer cannot modify or cancel the order independently through their customer account.
For any request to modify or cancel an order (provided that production or shipment has not already begun), the Buyer must immediately contact Corderie Gautier Customer Service by email, telephone, or postal mail.
ARTICLE 7 – PAYMENT, LATE PAYMENT PENALTIES AND RETENTION OF TITLE
The full purchase price is payable when the order is placed.
Payments are made by credit or debit card through a secure payment system ensuring the confidentiality of transmitted data. The Buyer's account is charged upon order registration or shipment, depending on the applicable banking procedures.
Retention of Title
Delivered products shall remain the exclusive property of Corderie Gautier until full payment of the purchase price, including all costs and applicable taxes, has been received.
Late Payment Penalties (Business Customers)
Any amount remaining unpaid on its due date shall automatically incur late payment interest at the applicable statutory rate plus the legally applicable increase, together with a fixed recovery fee of €40 in accordance with the French Commercial Code.
ARTICLE 8 – DELIVERY AND GEOGRAPHICAL LIMITATIONS
Products are delivered to the address specified in the order. Deliveries are available to mainland France, Monaco, Europe, and the French overseas departments and territories (DROM-COM).
Restriction on Large or Heavy Orders (> 30 kg)
Any order placed through the website with a total weight exceeding 30 kg for delivery within Europe or to French overseas territories cannot be processed directly through the online store. For such orders, the Customer must submit a quotation request using the dedicated quotation form or by email.
Transportation and Transfer of Risk
The carrier is selected by Corderie Gautier in order to optimize shipment delivery.
For Business Customers (B2B): Risk transfers to the Buyer as soon as the goods leave the Seller's premises. In the event of damage during transport, the Buyer must submit a reasoned claim to the carrier within three (3) days following delivery. Any parcel confirmed as delivered by the carrier shall be deemed to have been received by the recipient.
For Consumer Customers (B2C): The risk of loss of or damage to the products transfers to the Buyer when the Buyer, or a third party designated by the Buyer (other than the carrier proposed by Corderie Gautier), takes physical possession of the ordered products.
ARTICLE 9 – RIGHT OF WITHDRAWAL
In accordance with applicable French consumer protection legislation (Article L.221-18 of the French Consumer Code), private consumers (natural persons acting outside the scope of their professional activity) have a period of fourteen (14) calendar days from receipt of their order to exercise their right of withdrawal without providing any reason and without incurring any penalty, except for the direct cost of returning the goods, which remains the Buyer's responsibility.
Exclusions from the Right of Withdrawal
In accordance with applicable law, the right of withdrawal does not apply to:
- Ropes, webbing and nets cut to size or manufactured to custom dimensions;
- Products customized using the online product configurator;
- Goods clearly personalized at the Customer's request.
ARTICLE 10 – LEGAL WARRANTIES AND AFTER-SALES SERVICE
All products supplied by the Seller benefit from the following statutory warranties:
- Legal Guarantee of Conformity (Consumers): Valid for two (2) years from the date of delivery of the goods (Articles L.217-3 et seq. of the French Consumer Code).
- Warranty Against Hidden Defects (All Buyers): Provided for under Articles 1641 et seq. of the French Civil Code.
Any claim made under these statutory warranties must be sent either by post to the registered office of Corderie Gautier (13 rue des Artisans, ZA du Muehlbach, 68750 BERGHEIM, France) or electronically via Customer Service.
Within the online sales process, the Seller is bound only by an obligation of reasonable means. Consequently, the Seller shall not be held liable for any damage resulting from the use of the Internet network, including but not limited to data loss, unauthorized access, computer viruses, service interruptions, or any other involuntary technical issues, nor for any damage resulting from improper use of the products by the Buyer.
ARTICLE 11 – INTELLECTUAL PROPERTY
All elements of the Corderie Gautier website (including, but not limited to, texts, visuals, photographs, graphic elements, product sheets and the product configurator) are and shall remain the exclusive intellectual property of Corderie Gautier.
Any reproduction, exploitation, redistribution or use, whether in whole or in part, of any element of the website without the prior written consent of Corderie Gautier is strictly prohibited.
ARTICLE 12 – PERSONAL DATA (GDPR)
Corderie Gautier is committed to respecting and protecting your personal data.
In accordance with the amended French Data Protection Act ("Informatique et Libertés") and the General Data Protection Regulation (EU) 2016/679 (GDPR), the personal data collected when placing an order or creating an account are processed for the purposes of order fulfilment, customer service management and the maintenance of the commercial relationship.
For complete information regarding the collection of your personal data, the purposes of processing, retention periods, and the exercise of your rights (access, rectification, erasure and objection), the Buyer is invited to consult our GDPR Charter / Privacy Policy, available directly on the website.
ARTICLE 13 – RECORD RETENTION AND EVIDENCE
Corderie Gautier shall archive purchase orders, invoices and all transaction records on a reliable and durable medium constituting a faithful copy, in accordance with the provisions of Article 1360 (formerly Article 1348) of the French Civil Code.
The computerized records and electronic backups maintained by Corderie Gautier shall be considered by all parties as valid evidence of communications, orders, payments and transactions carried out between the parties.
ARTICLE 14 – CUSTOMER REVIEWS (JUDGE.ME PLATFORM)
As part of its commitment to monitoring the quality of its products and services, Corderie Gautier uses the third-party customer review platform Judge.me.
Reviews are collected exclusively from Buyers who have placed a genuine order through the website. The collection, moderation and publication of reviews are carried out in accordance with the authenticity and transparency requirements established by the applicable regulations.
ARTICLE 15 – CONSUMER MEDIATION AND DISPUTE RESOLUTION
Consumer Mediation
If a dispute cannot be resolved following a prior complaint submitted to Customer Service, consumers may refer the matter, free of charge, to a consumer mediator in order to seek an amicable resolution.

Applicable Law and Jurisdiction
These General Terms and Conditions of Sale shall be governed by French law.
In the event of a dispute involving a professional Buyer, exclusive jurisdiction shall be granted to the competent courts having jurisdiction over the Seller's registered office (Colmar, France), notwithstanding multiple defendants or third-party proceedings.
